I have a 2003 Nissan 350z 46k miles auto :( and i have an offer from a 2001 S2000 rebuilt motor (dont know if that's a bad thing or it doesn't matter) 30k miles for a straight trade, Also its a 6 speed stock as well, Should i proceed with the trade? What are your thoughts?

my response would be to ask yourself what your plans would be on each car. And also, I see a lot more 350z's on the road than S2000's so there's that

Haha, both impractical, but seeing as how S2Ks are basically only going up in value, I would probably save up and find one in good condition.

Although 350z is a nice car as well.

i'd ask to see the papers on who did the work, why they did the work, and the status of how everything on the motor looks.

Just wait for a better deal. If you want an s2k just keep your eyes open for a better condition one. Rebuilt motors are a gamble... so the real question is are you a gambling type of person? Or do you have money for a new motor should it crap out
